BY PLACING AN ORDER ON LENOVO.COM OR ACCEPTING PRODUCTS SUBJECT TO THIS AGREEMENT, YOU (“YOU” OR “CUSTOMER” OR “END USER” OR “VISITOR”) ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT; UNDERSTAND IT; AND THAT YOU EXPLICITLY AND AFFIRMATIVELY AGREE TO BE LEGALLY BOUND BY ITS TERMS AND CONDITIONS. IF YOU ARE ACCEPTING THIS AGREEMENT ON BEHALF OF ANOTHER PERSON OR A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE FULL AUTHORITY TO BIND THAT PERSON, COMPANY, OR LEGAL ENTITY TO THIS AGREEMENT


    1. Lenovo reserves the right to update or modify these Terms and Conditions at any time without prior notice. Your use of this Online Store following any such change constitutes your agreement to follow and be bound by the Terms and Conditions as and when they are modified. By electronically accepting this Agreement, you confirm your acceptance, and it would be accepted as would a written agreement with your signature.
    2. THIS AGREEMENT is between Lenovo (which expression shall, unless repugnant to or inconsistent with the context, mean and include the successors and permitted assigns) of the One Part and you, the user of the Online Store as a website visitor or as a person intending to make a purchase or actually making a purchase through this Online Store
    3. The ownership and proprietary rights in the domain name of the Online Store and its contents are owned by Lenovo. No part of the Online Store, the designs or the terms and references within shall be copied or transmitted for commercial purposes. Nothing contained in this Agreement shall give or be deemed to grant, whether directly or by implication, you any right, title or interest in or to the ownership or use of the trademarks and intellectual property. Purchases of Products on this Online Store does not transfer any of the intellectual property related to the Products, their design or concepts to you.
    4. This Online Store may contain hyperlinks to websites which are provided for your reference only. Lenovo does not own or control such websites and is not responsible for their contents. The inclusion of hyperlinks to such websites does not imply any endorsement of the material on such websites or any association with their operators by Lenovo.
    5. In no event shall Lenovo be liable for any damages whatsoever arising out of, or in connection with, your access of this Online Store or any information contained at the Online Store or any linked websites.
    6. Any fraud, neglect, deliberate omission, wrongful act or default conducted by you shall be subject to legal action and Lenovo shall not be responsible for your actions. Furthermore, you agree to defend, indemnify and hold Lenovo harmless from and against any and all claims, damages, costs and expenses, including advocate’s fees, arising from and related to your access and use of the Online Store. Lenovo shall not be liable for any loss or damage arising from its failure to perform any of its obligations under this Agreement if such failure is the result of circumstances outside its control including but not limited to the outbreak of war, any governmental act, act of war, explosion, accident, civil commotion, riot, industrial dispute, strike, lockout, stoppages or restraint of labour from whatever cause, whether partial or general, weather conditions, traffic congestion, mechanical breakdown, obstruction of any public or private road or highway or outbreak of any communicable disease or any other force majeure, fire, flood or any other act of God (“Force Majeure”).
    7. Lenovo may at any time make changes to the policies and terms and conditions including the privacy policy, shipping policy, return policy without any prior notice and it may do so with no prior permissions from users of the site or service.
    8. Should there be any unintentional errors relating to the Products, pricing, availability, shipping and Product supply, Lenovo will make good by correcting the amount (if incorrectly charged) and will have the right to make changes to the Online Store to correct the errors without any obligation to supply the Product or service at the previously published incorrect price or description.
    9. Upon purchase of the Product, you will be entitled to the warranty as provided with the Product, please visit https://www.lenovo.com/in/en/services-warranty/ for more details. Lenovo's manufacturing warranty is granted separately from and in addition to the consumer protection rights applicable under Indian Consumer Law. Lenovo will not be responsible or liable to comply with any warranties over and above or in addition to the warranties provided with the Product.
    10. Shipping of Products will be done by the method indicated in the order. If, for any reason the Products are sent using an alternate method, other than the one indicated in the order, you will not need to pay any additional charges for this.
    11. The Product’s color, actual size and accessories may vary from the visual representation on the Online Store.
    12. You will be required to pay for the Products ordered through the Online Store up front through Credit card, Debit Card, Internet banking, Wallet or EMI Option available on the Online Store or on delivery of the Products (if available). Any order placed with Lenovo, cannot be cancelled for refund of full amount once it has been processed and shipped. The period of processing and shipping will be available and updated on the website after placing an order. Once dispatched, return/exchange policy will apply for all orders cancelled by a user. Any amounts not received by Lenovo within thirty (30) days of receipt of invoice shall be overdue. Customer shall pay a late payment fee of the lesser of one and one half (1.5%) percent per month or the maximum rate permitted by law on the undisputed overdue balance of the invoice amount. Customer shall pay any applicable sales, use or similar taxes, fees or duties unless Customer provides exemption documentation to Lenovo. Customer is responsible for taxes, if any, on Products from the date Lenovo ships them to Customer or on Services, on the date the Services are provided by Lenovo. No other discounts, quantity entitlements, or promotions apply unless agreed in writing by Lenovo. Delivery charges, if applicable, will be as specified in an invoice.
    13. You agree that we, for any reason in our legitimate commercial discretion, including for violation of this Agreement, may immediately terminate your access to the Online Store at any time, for any reason. You agree that we will not be liable to you or any other party for any termination of your access to the Online Store or deletion of your account.
    14. If you choose to create an account (“Account”), you represent and warrant to us that all information you provide to us is true, accurate, current and complete, and you agree to maintain and promptly update such information to keep it true, accurate, current and complete. If we believe or suspect that such information is untrue, inaccurate, not current, or incomplete, we may deny or terminate your access to the Online Store (or any portion thereof). When you set up an Account, you are required to select a User ID (which may be an email address) and a password. You may not transfer or share your username and password with any third parties. You are solely responsible for maintaining the confidentiality of your Account log-in information, including but not limited to taking steps to prevent unauthorized access by safeguarding your log-in information. You are solely responsible for any and all use of your Account and all activities that occur through your Account.

We may, but are not obligated to, delete or suspend user accounts and/or remove content if we determine or suspect that those accounts or content violate this Agreement, or the applicable laws. When you post or share any content to the Online Store regarding a third party, you represent and warrant to us that you have the third party’s consent to do so.
    16. We reserve the right to modify the Online Store, in whole or in part. We may also make improvements and/or changes in the Products and/or the programs described in this information at any time. We will not be liable to you, or any third party should we exercise our right to modify the Online Store. If you object to any such changes, your sole recourse will be to cease access to the Online Store. Continued access to the Online Store following notice of any such changes will indicate your acknowledgement of such changes and satisfaction with the Online Store as so modified. In case of any material changes to the Online Store affecting our rights or obligations, we intend to take every reasonable step to ensure that these changes are brought to the attention of Users who have set up a User ID, by posting the updated terms on the Online Store for your prior consent.

If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision of this Agreement will be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement will continue in full force and effect.
    18. LIMITATION OF LIABILITY
    19. a. Lenovo shall not be liable for special, indirect, consequential, punitive, incidental damage loss or expenses including, but not limited to, business interruption, lost business, lost profits or lost production, Interruption or Loss of Use of Service or Equipment loss of data, even if it has been advised of their possible existence, whether an action alleging such damages is brought in contract, negligence or tort. Lenovo will not be responsible for any liability arising out of the conduct of its employees, associates, contractors and suppliers that may cause any financial or other loss to you.

      b. The aggregate liability of Lenovo towards the other Party for all claims and losses, whether based on an action in contract, equity, negligence, tort, or other theory, will not exceed actual direct damages equal to the cost of Product paid to Lenovo which gave rise to such liability.

    20. GOVERNING LAW AND JURISDICTION
    21. This Agreement shall be subject to and construed in accordance with the laws of India and the Parties hereby submit to the exclusive jurisdiction of the courts of Bangalore

      In the event of any disputes, differences or controversies between the Parties hereto, out of or in connection with the provisions of this Agreement, or any action taken hereunder, the Parties hereto shall thoroughly explore all possibilities for an amicable settlement. In case an amicable settlement cannot be reached, such disputes, differences or controversies shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (including any amendment or re-enactment thereof). The proceedings of such arbitration shall be conducted in English language and the venue of such arbitration shall be Bangalore. The award of such arbitration shall be final and binding upon the Parties hereto.

    22. All notices, demands or other communications required or permitted to be given or made under or in connection with this Agreement shall be in writing and shall be sufficiently given or made (i) if delivered by hand, or (ii) sent by pre-paid registered post, addressed to Lenovo, at the following address:

    PAYMENT AND DELIVERY TERMS

    • Any order place by you is subject to this Payment, Delivery and Returns Policy, Terms and Conditions and our Privacy Policy available here in this Online Store.
    • To place an order, you will need to complete the transaction on the website. This may or may not be assisted with a phone call with the customer service representative. By placing an order on the site or on phone, you are agreeing to the terms and conditions and payment policy published in the appropriate section of the website or affiliated websites where specifically referred to such affiliated websites.
    • After you have made your selection and added Products to your shopping cart, you will need to proceed to the checkout section.
    • In this section you will be asked for address and other contact information as well as payment related information. Once the payment transaction has been successfully completed, your order will be processed on receipt of the funds from the bank or Credit Card Company. It is at this stage that the sale is said to be complete. Thereafter your Products will be shipped based on Product availability and completion of logistics operations related to the same.

You should also have enrolled your Credit Card with VBV (Verified by Visa) or MSC (Mastercard Secure Code) to complete the transaction. CVV shall not be stored or saved and you can choose to save card data or remove it any time.

    NO COST EMI – T&C

    • You understand that on choosing No Cost EMI payment option using Credit Card, you will receive a discount upfront equal to the interest cost due to the bank making it effectively no interest cost. You understand that No Cost EMI payment option is available on select products. The No Cost EMI offer is applicable only for EMI purchase for the duration of 6 and 9 months. The discount applicable on opting for 'No Cost EMI on Credit Card' is being offered exclusively on Products purchased on the Online Store and does not amount to EMI/interest waiver extended by the bank.
    • You understand and confirm that you will need to pay applicable EMI and interest on total value of the order at the time of payment to the bank in accordance with the terms applicable to the credit card. The interest cost charged by the bank over time is being given back to you upfront at the time of this purchase and netted off in the Invoice amount.
    • The discretion to allow the payment lies with the bank issuing the credit card. Lenovo will have no obligation or liability in the event the bank refuses to process the transaction for any reason.
    • The Bank charges annual interest rates according to the reducing monthly balance. In the monthly reducing cycle, the principal is reduced with every EMI and the interest is calculated on the outstanding balance.
    • The customer also understands that if s/he fail in timely payment of EMI, there may be additional interests/penalty which may be levied by the bank which may be higher than the discount offered under this scheme.
    • Goods and Services tax will be levied on Interest by the issuing bank on the EMI
    • Any returns/cancellation will be as per the return/cancellation policy provided below by us.
    • Lenovo will not charge a processing fee for availing EMI option. Bank may however charge processing fee or cancellation charges as per the banks policies. Such charges shall be paid by you and will not be refundable even in the event of return/cancellation of the order.
    • You may check with the respective bank/issuer on how a cancellation, refund or pre-closure could affect the EMI terms, and what interest charges would be levied on you for the same.
    • Lenovo retains the right to modify or cancel this scheme at its sole discretion.
    • You understand that for select Products there may be a constraint on number of transactions per credit card.
    • You may be charged service tax or other all applicable taxes by the bank for these transactions.

    PAYMENT SECURITY

    • Credit card and Debit card information is not stored by us and is not taken by us. This information is taken directly by the payment gateway provided who is authorized and is compliant with the regulations and requirements of various banks and institutions and payment franchisees that it is associated with

    PRODUCT PRICING

    • Product prices listed on the website are current. While every care has been taken to label the Products accurately, errors in data entry and updation may occur. We reserve the right to cancel the order in case a transaction has been made where the price indicated was not the correct price. In the rare event that happens, we will notify you of the error and allow you to either proceed with the transaction at the correct price or cancel your order at no cost to you. Also, Price change or price drop of a product on the website post the purchase does not make the customer eligible for price match or cash refund.
    • Prices are subject to change without advance notice.
    • All prices on this Online Store are in Indian Rupees.
    • All orders are acknowledged at current pricing. We will bill at price in effect at the time of receipt of money and raising of an invoice.
    • Our Products are liable for GST in India. GST is included in the price mentioned on the Online Store. Break-up of all taxes will be provided in the Invoice.

    OUT OF STOCK SITUATIONS

    • Our endeavor is to ensure that all Products listed on the Online Store (non-CTO orders) are available in stock for dispatch to the buyer. However, in case the same is not available for any reason, we will contact you within 3-4 business days and give you the option to exchange, delay or cancel the order based on your convenience. In case you would like to alter, exchange or cancel, such specific instructions need to be sent to us at the following email: orderstatus1@lenovo.com. Lenovo reserves the right to accept or reject the exchange request based on availability of the requested product.
    • Given the popularity and/or supply constraints of some of our products, Lenovo may have to limit the number of products available for purchase. Trust us, we’re building them as fast as we can. Lenovo reserves the right to change quantities available for purchase at any time, even after you place an order, provided Lenovo has not yet accepted your order.

    DELIVERY OF PRODUCTS

    • Products with ‘Same day shipping’ (Working Days Only): The ‘Same day shipping’ is available for orders placed before 12 noon and ‘Shipping within 24 hrs’ is available for orders placed after 12 noon.
    • Products are shipped from our own or third-party warehouses/ stores or offices from various points in India. Our endeavor is to make the Products (non-CTO orders) reach you within 3 to 5 business days for metro cities and 7 to 10 business days for non-metros from receipt of order and payment depending on the address for delivery. For CTO orders, the estimated timeline for shipping is 4-12 weeks based on the product selected.
    • Order deliveries will be made by our own staff or third-party courier and logistics companies or Postal Services usually between 10.30 am to 7 pm on Monday–Saturday.
    • Goods will need to be signed for upon delivery. We take no responsibility for goods signed by an alternative person other than the person ordering the Product at the address indicated at the time of the order.
    • Since the transactions are authorised by the card holder, we do not take responsibility for incorrect addresses provided at the time of placing the order.
    • We are not responsible for loss or damage of Products after delivery.
    • All claims, if any, for shortages, damages or Dead on Arrival (DOA) product must be reported to Customer service within 24 hours of delivery through Lenovo Customer Service (orderstatus1@lenovo.com). Orders with any visible damage to the box or open seal should not be accepted and be returned to the delivery person.
    • Express Delivery option (1-2 days after shipping) will be available for select locations / pin codes in Metros

    PRODUCT RETURNS, EXCHANGES AND CANCELLATIONS

    Once the order has been placed and the funds have been received by us. The order is considered to be in the processing stage. The following policy will apply to cancellation requests at various stages of the transaction:

    • Order once placed can be cancelled only up to 24 hours of placing order by contacting Lenovo Customer Service (orderstatus1@lenovo.com). No cancellation will be accepted if reporting is done by the customer after 24 hours.
    • Our endeavor is to ensure that Products are available with us all times. However, in cases where the Products are not available and not likely to be available for a reasonable period of time, the full refund will be given to the customer after informing the customer via email and phone. No charges will be levied on the customer. Refunds will be processed, within 72 hours of receiving the request in writing from the customer who has placed the order, i.e. if the order is placed on through a credit card then the fund will be transferred through the payment gateway to the same credit card. Once the transfer is initiated the customer will be given a bank reference ID for the refund process. The transfer of fund is done through third party gateways and will take between 7-10 working days to reflect in the customer’s account.

    EXPORT CONTROLS

    • This contract is subject to applicable export control laws. You may not export any product purchased from the Lenovo Store to another country if prohibited by export control laws. If you do plan to export a Lenovo product to another country, you must obtain any legally required export licenses (or other government approvals) and prior written consent of Lenovo. Lenovo shall in its sole discretion decide without prejudice to its rights to deny any requests to export Lenovo branded products

    GOODS AND SERVICES TAX (GST) POLICY

    • Goods and Services Tax (GST) is an indirect tax (or consumption tax) used in India on the supply of goods and services. It is a comprehensive, multistage, destination-based tax: comprehensive because it has subsumed almost all the indirect taxes except a few state taxes. Multi-staged as it is, the GST is imposed at every step in the production process but is meant to be refunded to all parties in the various stages of production other than the final consumer and as a destination-based tax, it is collected from point of consumption and not point of origin like previous taxes.
    • Goods and services are divided into five different tax slabs for collection of tax - 0%, 5%, 12%, 18% and 28%. However, most electronic goods are expected to be in the 18% tax range.

    • As per GST norms, the Billing state address & Billing GST No. will get the GST input. Shipping state address & shipping GST number will not have right to claim on GST input. Please note while putting GST number ensure that you are putting the billing address state GST number. ONCE GST NUMBER MENTIONED, NO CHANGES WILL BE ENTERTAINED SINCE WE ARE GENERETING THE E-INVOICES FROM GST PORTAL.
    • Customer must mention his company /Prop/ Partnership firm’s GST number in the field provided " GSTIN" at the time of checkout in the Billing address, if he/she/they, wants have GST Input credit for their organisation.
    • As per the GST act giving incorrect GST while buying or selling the good and services, is an offense for both parties i.e. for GST Number, on whose name GST number is registered and the person or Individual / Prop /Company/ Partnership firm, who provides such incorrect GST Number for the any transaction of buying, Selling of good and services.
    • Customer can view such GST input credit on their GSTR 2A by 11th of following month from invoice date (Not from order date). Sometimes GST input credit doesn’t reflect in 2A because of the following reasons due to which GST input credit will not get reflect in GSTR-2A.

    • Hence to get the correct GST input credit customer has to put right GST information while placing the order, also ensure that correct GST number with branch address and state is provided.
    • Once Seller files the GST Returns, they won’t be able to make any changes in their GST Returns. Hence all customer has to take extra care while putting their GST Information while placing the order on websites.
    • TAX COLLECTION AT SOURCE

      • Tax Collection at Source (‘TCS’) will be collected from all customers on consideration for sale of goods in excess of the prescribed threshold limit (i.e. INR 50 lakhs or any other limit as prescribed by the Government) in aggregate during the financial year.
      • TCS will be collected on the total sale consideration including GST. TCS will be collected at rate of 0.1%.

      • "Business Days" means a day which is not a Saturday, Sunday or regional public holiday and national holidays in India.
      • "Product" means the Lenovo goods provided to you under this Agreement which can be either hardware or software.
      • "Service" is the performance of a task, provision of advice, assistance, or access to a resource (such as access to an information data base) Lenovo makes available to you.
      • "Invoice" is the invoice issued by Lenovo and mailed to you after shipment of your ordered item(s) showing their price and any applicable taxes at the time of billing, and is your proof of purchase.
      • "Order" is the order placed by you in accordance to these Terms and Conditions.
